03Terms of engagement
ANNEX A — PRICE AND PAYMENT
PRICE APPROVAL PROCESS: You are signing the engagement terms and requesting the selected services, but you are NOT yet accepting any unspecified fee. CIDB will review your request, specify its price and payment basis in Price Annex A, and countersign. The proposed fee becomes agreed only after you separately approve Annex A. CIDB will not begin chargeable work before that approval.
Fees and payment
Fees, billing frequency and VAT treatment will be set out in Annex A after CIDB reviews your signed request. The fee is binding only once you expressly approve the annex. No paid work begins before that approval. Invoices are payable according to the terms specified in the accepted annex. Extra services require separate written agreement.
1. Services and scope
CIDB Solutions Ltd will provide the services selected in this agreement, exercising reasonable care and skill. Only those services are included; additional work, specific deliverables and timescales must be agreed separately in writing. This agreement does not appoint CIDB as your HMRC or Companies House agent automatically.
2. Your responsibilities
You must supply complete, accurate records and information in good time, notify us of relevant changes, review drafts and approve all returns or filings before submission. You remain legally responsible for your tax affairs, payments, statutory obligations and the accuracy of information you provide. Late or incomplete records can affect deadlines.
3. Filings, authorisations and deadlines
We will only submit forms, returns or filings where this is part of the agreed service and we have your necessary authority and final approval. We cannot guarantee a particular tax result, refund or HMRC decision. We are not responsible for penalties caused by information or approval you provide late or inaccurately, except where the law makes us responsible.
4. Confidentiality and personal data
We will treat your information confidentially and use it to arrange, deliver, administer and document the agreed services, and to satisfy applicable legal obligations. Where necessary we may share data securely with HMRC, Companies House and relevant service providers. Further details, including your rights, are in our privacy notice.
5. Liability and professional standards
We will perform agreed services with reasonable care and skill. Neither party excludes any liability which the law does not allow to be excluded, including liability for fraud or for death/personal injury caused by negligence. Our liability for other losses is governed by applicable law; nothing in this agreement removes your statutory rights.
6. Duration and ending the engagement
The engagement terms are countersigned by CIDB, but no paid service may begin until you expressly accept Annex A. The engagement continues until the agreed services are completed or either party ends it by written notice. Fees for services properly carried out after agreement of Annex A and up to termination remain payable. Where required by law, including identity and anti-money-laundering checks, CIDB may delay or decline the engagement.
7. Communication and complaints
The parties may communicate and exchange documents electronically using the email addresses supplied. Please raise any concerns promptly with CIDB using the contact email shown on this agreement; we will seek to resolve complaints fairly and without unnecessary delay.
8. Consumer cancellation (where applicable)
If you are acting as a consumer and this contract was concluded remotely, you may have a statutory right to cancel within 14 days after the contract is made. You can exercise any such right by emailing CIDB clearly stating your decision. We will not begin services within that cancellation period unless you request an earlier start separately and expressly; where permitted by law, a proportionate charge may then apply. Your statutory cancellation rights are not restricted by this agreement.
9. Governing law and electronic acceptance
This agreement is governed by the laws of England and Wales, subject to any mandatory rights that apply. By signing and submitting, you confirm your intention to be bound by these terms and authorise CIDB to keep an electronic record. The engagement becomes effective only once CIDB confirms acceptance.
