CIDB Solutions Ltd provides remote accounting, bookkeeping, taxation, payroll, company-formation, VAT, CIS, and business-compliance advisory services within the UK.
All services are delivered digitally unless otherwise agreed in writing.
Engagement begins only once a signed Engagement Letter or Service Agreement and relevant identification under the Money Laundering Regulations 2017 have been received.

3. Professional Obligations

We operate under UK accounting standards and HMRC Agent Guidelines.
All services are performed with reasonable skill and care by qualified personnel.
However, final responsibility for filing accuracy and disclosure remains with the client unless CIDB Solutions Ltd is expressly appointed as the authorised filing agent.

4. Client Responsibilities

Clients must:

• Provide complete, accurate, and timely financial information.

• Retain copies of all records for at least six years.

• Inform us of any changes affecting tax or compliance status.
  Failure to provide required information may delay submissions or incur HMRC penalties, for which CIDB Solutions Ltd accepts no liability.

5. Fees and Payment Terms

Service fees are quoted prior to engagement and confirmed in writing.
All prices are exclusive of VAT (if applicable).
Invoices are payable within 7 days unless otherwise stated.
We reserve the right to pause work or withhold submissions for overdue accounts.
Payments must be made electronically via approved methods displayed on our invoices.

6. Cancellations and Refunds

You may cancel a service in writing within 14 days of acceptance if no work has commenced.
Once work has begun or documents have been submitted to HMRC/Companies House, no refunds are available.
Where prepaid annual packages are cancelled, services delivered to date will be re-invoiced at standard rates.

7. Confidentiality and Data Protection

All information supplied by clients is treated as strictly confidential.
We comply with the UK GDPR and the Data Protection Act 2018.
Personal and financial data are stored securely on our private, encrypted servers and never shared with third parties unless required by law or authorised by you in writing.

8. Intellectual Property

All website content, templates, and digital materials created by CIDB Solutions Ltd remain our intellectual property unless otherwise assigned in writing.
Clients receive a non-exclusive, non-transferable licence to use deliverables for their own business purposes.

9. Limitation of Liability

We are not liable for:

• Loss of profit, revenue, or goodwill arising from the use of our website or services.

• Penalties imposed by HMRC due to incorrect or delayed information provided by the client.
  Our total liability, whether in contract or negligence, shall not exceed the total amount of fees paid for the specific service giving rise to the claim.

We are not responsible for their content, security, or privacy practices.
Use of such services is at your own risk.

11. Website Use

12. Termination of Engagement

Either party may terminate an engagement by giving 14 days’ written notice.

We shall not be liable for failure or delay in performance caused by events beyond our reasonable control, including network outages, natural disasters, or changes in legislation.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with English law.
Both parties agree to the exclusive jurisdiction of the courts of England and Wales.
